Disputes tinged with marital quarrels and divorce proceedings reached the board of directors of Alava Tubacex this Wednesday. And this is just 24 hours before today’s shareholders meeting in Bilbao. Company … was forced to disclose, through a communication from the National Securities Market Commission (CNMV), the differences that exist between its main shareholder, Basque businessman José Maria Aristren, and the company’s still director, Gema Navarro, who resigned. It so happens that Navarro is the wife of Aristren, whom she represented in Tubasex. His position will remain vacant for now while a sort of “War of the Roses” unfolds in the Ayala Valley.

Sources consulted by EL CORREO report that Aristren and his wife – his second wife – have begun a divorce process that is not going through friendly channels and which has not yet been reported. Apparently, the conflict between them began four months ago, during which time Aristren demanded that Jema Navarro leave her post on the Tubacex board of directors, on which she acted as her own director. Despite this, and speaking on behalf of her husband, according to the same sources, Navarro did not accept her husband’s requests and decided to stand, clinging to her seat on the council.
“Loss of Trust”
This Wednesday the company sent a message to the CNMV in which it explained in very synthetic terms what happened. Apparently, Aristren asked to put on the agenda of the shareholders’ meeting the issue of expelling his wife from the board of directors. Faced with such a maneuver, Jema Navarro did not sit still and decided to resign early, citing the reason: “disagreements” with her husband. “Gema Navarro Mangado resigned as her own director of Tubacex due to disagreements with the board of directors and the major shareholder who proposed her appointment,” Tubacex said in a statement.
The truth is that Aristrain’s representation on the Tubacex board of directors has experienced several moments when conflict dominated. Namely, in September 2017, there was also the dismissal of its then representative, Damaso Quintana, “due to loss of confidence”.
